Terms of Use
Acceptance of Terms
These Terms are between you and Guiding Elephant LLC, a limited liability company organized under Florida law. By using guidingelephant.com, signing a proposal or statement of work, or engaging us for work, you agree to these Terms. If you act for an organization, you confirm that you may legally bind that entity.
Services & Delivery
Guiding Elephant provides finance, technology, AI, growth, advisory, data, and business compliance services. Each engagement is defined in a signed proposal or SOW covering scope, deliverables, timing, and fees. Legal advice or representation is provided only when stated in the SOW and delivered by appropriately licensed counsel.
Engagement Structure
Work begins after the applicable SOW is signed and any required initial payment is received. Fees, billing dates, expenses, and refund terms are stated in the SOW. Clients must provide accurate information, timely feedback, approvals, and required access on time. Any delays in those inputs may change timelines, costs, or delivery dates.
Intellectual Property
Final deliverables created under an SOW transfer to the client only after full payment, unless the SOW states otherwise. Guiding Elephant retains its pre-existing methods, tools, templates, systems, and know-how. Both parties must protect confidential information, use it only for the engagement, and apply all reasonable care.
Risk & Liability
Guiding Elephant performs services with reasonable professional care. Except as stated in an SOW, services and website content are provided as is without other warranties. To the fullest extent allowed by law, liability for an engagement is limited to fees paid under its SOW excluding indirect, incidental, special or consequential damages.
Final Terms
Either party may terminate an engagement as stated in the SOW. Fees for completed work remain payable, and handover is subject to full payment. These Terms and every SOW are governed by Florida law. Disputes are subject to courts of competent jurisdiction in Florida unless the SOW states otherwise. Updates apply when posted; questions may be sent through our contact page.
